Finalform Terms of Service

Effective Date: March 1st, 2025

Welcome to Finalform! These Terms of Service ("Terms") govern your use of our iOS application ("App"), website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By downloading, installing, or using the Service, you agree to these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to all these terms, do not use the Service.

2. Description of Service

Finalform provides nutrition tracking, personalized meal plans, and other wellness-related features designed to help users achieve their health goals. The Service includes both free and paid features, which may change over time at our discretion.

3. Eligibility

To use the Service, you must be at least 18 years of age. If you are between 13 and 17 years old, you may use the Service only with parental consent and supervision. The Service is not intended for children under 13 years of age.

4. Account Registration

  • You may be required to create an account to access certain features of the Service.

  • You agree to provide accurate and complete information during registration and to keep your account information up to date.

  • You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

  • Account Security: Finalform is not responsible for unauthorized access to your account due to negligence, password-sharing, or failure to safeguard login details.

  • You agree to notify us immediately of any unauthorized use of your account or any other security breach.

5. Free Trial and Subscription Plans

  • The Service offers a free trial period for new users, after which you may choose to subscribe to a paid plan.

  • Subscription fees are billed at the beginning of your subscription term.

  • Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. Your Apple account will be charged for renewal within 24 hours before the end of the current period.

  • You may cancel your subscription at any time, but cancellations will only take effect at the end of the current billing cycle.

  • We reserve the right to change subscription pricing with notice to users. Any price changes will take effect at the next billing cycle.

6. Payment and Refunds

  • All payments for subscription plans are processed securely through Apple's in-app purchase system.

  • Refund Policy: Finalform does not issue refunds for partially used subscription periods. You may request a refund directly from Apple via the Apple Support website or through your Apple ID purchase history.

  • You may manage your subscription through your Apple account settings.

  • You are responsible for all taxes and fees associated with your subscription (beyond our control).

7. User Content

  • By submitting any content (such as comments, photos, or other data) through the Service, you grant us a non-exclusive, royalty-free, worldwide, and sublicensable license to use, reproduce, modify, adapt, and display your content in connection with providing and improving the Service.

  • You are solely responsible for the content you submit and agree not to upload anything unlawful, offensive, or harmful.

  • We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is inappropriate.

  • We do not claim ownership of your content, but you grant us necessary permissions to use it for Service operation.

8. Health Disclaimer

  • The information and recommendations provided by Finalform are for informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.

  • Finalform is not a licensed healthcare provider, dietitian, or physician.

  • Always consult a qualified healthcare professional before making significant dietary or fitness changes.

  • Your use of Finalform does not create a doctor-patient relationship.

  • Finalform assumes no liability for any health outcomes resulting from your use of the Service.

  • Nutritional information and calculations are provided as estimates and should not be relied upon as definitive data.

9. Privacy

  • We are committed to protecting your privacy. Please review our Privacy Policy for details on how we collect, use, and safeguard your information.

  • Data Deletion: You can request the deletion of your account and associated personal data at any time by contacting will@finalform.co. Your data will be deleted within 30 days, except where retention is legally required.

  • If you connect HealthKit or other health data sources, we handle this data in accordance with our Privacy Policy and Apple's guidelines.

10. Intellectual Property

  • All content, trademarks, logos, service marks, and other intellectual property on the Service are owned by Finalform or its licensors.

  • You may not copy, reproduce, distribute, modify, create derivative works from, or exploit any part of the Service without our prior written consent.

  • Finalform respects the intellectual property rights of others and expects users to do the same.

11. Prohibited Conduct

By using the Service, you agree not to:

  • Violate any applicable laws or regulations.

  • Use the Service for any unlawful or unauthorized purpose.

  • Interfere with the security or operation of the Service.

  • Collect data from other users without their consent.

  • Attempt to gain unauthorized access to any portion of the Service or any related systems.

  • Use any automated means to access or use the Service.

  • Impersonate any person or entity, or falsely state your affiliation with any person or entity.

  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.

  • Upload or transmit viruses, malware, or other malicious code.

12. Termination

  • We may terminate or suspend your access to the Service at any time, without notice, if you violate these Terms or engage in any conduct that we deem harmful to the Service or other users.

  • You may terminate your use of the Service at any time by deleting your account and ceasing all use of the Service.

  • Upon termination, your right to use the Service will immediately cease, but all provisions of these Terms that by their nature should survive termination shall survive.

13. Indemnification

You agree to indemnify, defend, and hold harmless Finalform, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your use of the Service.

  • Your violation of these Terms.

  • Your content or data.

  • Any disputes between you and a third party.

14. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Finalform and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

  • Our liability to you for any claims arising from the Service is limited to the amount you paid, if any, for accessing the Service during the twelve (12) months preceding the claim.

  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, so the above limitations may not apply to you.

15. Disclaimer of Warranties

  • THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

  • TO THE FULLEST EXTENT PERMITTED BY LAW, FINALFORM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

16. Changes to the Terms

  • We may update these Terms from time to time. Any changes will be posted on our website or within the App.

  • Your continued use of the Service after the changes are made constitutes acceptance of the new Terms.

  • If we make material changes to these Terms, we will provide notice through the Service or by other means.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

18. Dispute Resolution

  • Any disputes arising out of these Terms or the use of the Service shall be resolved exclusively through final and binding arbitration in Phoenix, Arizona, in accordance with the rules of the American Arbitration Association (AAA).

  • By using the Service, you waive the right to a jury trial or participation in any class action lawsuit.

  • Notwithstanding the above, Finalform may seek injunctive or other equitable relief in any court of competent jurisdiction.

  • The arbitration shall be conducted in English by a single arbitrator.

  • The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

19. Third-Party Services

  • The Service may contain links to third-party websites or services that are not owned or controlled by Finalform.

  • We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

  • Your interactions with such third parties are solely between you and them.

20. Apple App Store Additional Terms

  • These Terms are between you and Finalform, not with Apple Inc. ("Apple"). Apple is not responsible for the Service or its content.

  • Your use of the Service must comply with the App Store Terms of Service.

  • Apple has no obligation to provide any maintenance or support services for the Service.

  • Apple is not responsible for addressing any claims related to the Service or your use of it.

  • Apple is a third-party beneficiary of these Terms and may enforce them against you.

21. Force Majeure

Finalform will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government actions, power failures, or internet disturbances.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Finalform regarding the Service and supersede all prior agreements or understandings.
